Terms of
Service

How routing and billing work, the EU consumer rights you keep, and what you agree to by installing the IDE or creating an account.

Version 1.0 — Effective 30 July 2026
Last updated 30 July 2026

These Terms govern your use of Omega — the IDE, the extension, your account, and the request-processing service behind them. By installing the IDE or extension, creating an account, or using Omega, you agree to them. If you are a consumer, you keep mandatory rights under EU and Bulgarian law that these Terms cannot take away — several clauses below exist to preserve them.

Who we are

Omega is operated by OmegaHQ Ltd („Омега ЕйчКю” ООД), a limited liability company registered in Bulgaria (EU) in the Commercial Register at the Registry Agency, VAT number BG208869476, with registered office at 29 Golyamokonarsko Shose Blvd, Tsaratsovo 4204, Maritsa Municipality, Plovdiv Province, Bulgaria. You can reach us at [email protected].

Eligibility & accounts

You must be at least 16 years old to use Omega. You are responsible for providing accurate account information and keeping it current, for keeping your credentials secure, and for activity under your account. Sign-in and identity are handled through our authentication provider. One account is for one person.

The service & licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use Omega for its intended purpose. The IDE is built on open-source software (a VS Code–based editor); those components remain governed by their own licences. When you use an AI feature, the content you submit is sent to one or more third-party AI model providers that generate the response. Omega needs an internet connection and a compatible operating system and hardware, and usage or technical limits may apply. You may optionally bring your own model-provider key (BYOK), in which case that provider’s terms also apply, or point Omega at a model running locally on your machine, in which case that content stays on your machine. We may improve and evolve the service (see availability & changes).

Acceptable use

Your use is subject to our Acceptable Use Policy, which forms part of these Terms. In short: do not abuse the service, use it for unlawful content or activity, circumvent security or usage limits, resell access without our written agreement, or use it to attack other systems. Breach may lead to suspension or termination (see suspension & termination).

Model routing & billing

You are billed for the model that actually runs your request, at a discount to that model’s published list rate: 25% below list on individual plans, and 30% below list on team and enterprise plans. On cold or cache-establishing requests a minimum-margin floor can reduce the discount — but you are never billed above the model’s list rate. The model used is shown with every reply. Credits are prepaid — you buy them directly as top-ups, or receive a monthly allotment with a subscription plan (see subscriptions & renewal) — and they are spent as you make requests. Plan prices are shown in EUR inclusive of VAT (see payments & VAT); credit top-ups are quoted as the credit you receive, with VAT added at checkout. The per-request usage rates above are net of VAT, which is settled once when you buy credits, not again as you spend them. Prices may change with notice as required by law, and changes do not affect credits you have already bought.

auto & cost saver

When you select Auto in the model picker, Omega chooses the most cost-effective capable model for each request on your behalf. Separately, if you enable Cost Saver, Omega may run a faster, cheaper model for trivially simple requests even when you have selected a higher-tier model — this only ever lowers your cost, never raises it, and the model that ran is always shown and is the model you are billed for. Both features are optional and off by default; selecting a specific model with Cost Saver disabled always runs exactly that model.

Subscriptions & renewal

Paid plans are monthly subscriptions that renew automatically at the end of each billing period until cancelled. Each plan’s price and what it includes (such as its monthly credit allotment) are shown on /pricing and at checkout; prices are in EUR and inclusive of any applicable VAT. There is no minimum term.

Cancelling. You can cancel at any time from your dashboard (via our payment provider’s billing portal). Cancellation takes effect at the end of the current billing period: you keep access until then, and no further renewals are charged. You can also change plans, or change the seat count on a per-seat team plan, from the same place — any proration is calculated by the payment provider and shown to you before you confirm. If we change a renewal price, we will give you advance notice so you can cancel before it applies. Your 14-day withdrawal right for a newly-purchased subscription is described in payments & withdrawal.

Payments, credits & your right of withdrawal

Payments are handled by our payment provider; your full card or payment-instrument details are handled by that provider and do not reach Omega’s servers.

VAT. OmegaHQ Ltd is VAT-registered in Bulgaria (VAT number stated under who we are). Plan prices shown on /pricing and at checkout are the final amount you pay, inclusive of VAT at the applicable rate; credit top-ups are quoted as the credit you receive, with VAT added at checkout. VAT is settled once, at purchase — it is not charged again as you spend those credits on individual requests. If you are a business established in the EU, you can enter your VAT identification number at checkout: where the reverse-charge mechanism applies, we bill you the net amount with no VAT added and you account for VAT in your own Member State. For consumers, cross-border VAT is charged at your country’s rate where required and reported through the EU One-Stop-Shop (OSS) scheme. Every payment produces an invoice that shows the VAT breakdown.

Your 14-day right of withdrawal. If you are an EU consumer, you may withdraw from a purchase within 14 days without giving a reason. To exercise it, tell us (see contact) by a clear statement before the period expires; a model withdrawal form is available in the full Terms. If you withdraw in time, we reimburse the affected payment without undue delay and within 14 days, using the same means of payment.

When the right ends (credits). Prepaid credits give you immediate access to digital content and a digital service. Checkout shows you a statement by which, in confirming payment, you expressly request that supply begin immediately and acknowledge that you thereby lose the withdrawal right once supply begins and to the extent credits are spent; where you have done so and we have confirmed it on a durable medium, the 14-day right no longer applies to credits that have been spent. Unspent credits and other refunds are governed by our Refund Policy.

Withdrawal from a subscription. The 14-day right also applies when you start a new subscription. Because you expressly request that the plan begin immediately, if you withdraw within the 14 days we may deduct a proportionate amount for the service already provided up to the point you told us you were withdrawing, and reimburse the rest. Nothing here limits your mandatory consumer rights or your statutory conformity remedies (see conformity).

Your content & intellectual property

You own your code and content. Using Omega does not change that. You grant us a limited licence to process the content you submit solely to provide the service to you. We do not train models on your code or prompts, and we do not sell your personal data — see the Privacy Policy. If you send feedback, you let us use it to improve the product. The Omega software, brand, and site (excluding open-source and third-party components under their own licences) remain owned by Omega or its licensors.

AI providers & third-party services

Your requests are processed by third-party AI model providers to generate responses; their terms apply to that processing, and where you use BYOK, your chosen provider’s terms apply to requests routed with your key. We disclose the categories of recipients we rely on and keep a current, named list of subprocessors at /subprocessors.

Availability, beta & changes to the service

Omega is provided during an evolving, beta period. We aim for good availability but do not guarantee uninterrupted or error-free operation, and we may perform maintenance. We may modify, add, or discontinue features. Where a change goes beyond what is needed to keep the service in conformity and would materially and negatively affect your use, we will give reasonable advance notice and, where the law provides it, a right to terminate.

Conformity & AI-generated output

We supply the service in conformity with its description and functionality and fit for the purposes for which such a service is normally used, at a quality you may reasonably expect. Your statutory rights and remedies for lack of conformity of digital content and digital services apply and are not excluded, limited, or waived by these Terms.

AI-generated output may be inaccurate, incomplete, insecure, non-functional, or may infringe third-party rights. You are responsible for reviewing, testing, and validating any AI-generated output before relying on or deploying it. This warning does not exclude or limit our conformity obligations above or your mandatory statutory rights.

Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. In particular, we do not exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) your mandatory statutory rights as a consumer under Bulgarian and EU law, including your rights and remedies for lack of conformity, which cannot be excluded, limited, or waived in advance.

Subject to the above, and to the extent permitted by law, our total aggregate liability for loss or damage arising out of or in connection with the service is limited to the greater of (a) the total amounts you paid us for the service in the 12 months preceding the event giving rise to the claim, and (b) €100. We are not liable for loss that was not reasonably foreseeable, and nothing in this section limits any liability that cannot lawfully be limited or excluded under the carve-outs above.

Suspension & termination

You may stop using Omega at any time, and you can delete your account yourself from your dashboard (Settings) — deleting it cancels any active subscription. We may suspend or terminate your access for a material breach of these Terms or the Acceptable Use Policy, for fraud, or for non-payment, with notice where reasonable and practicable. On termination, the treatment of any remaining prepaid credits is governed by these Terms and the Refund Policy, without prejudice to your mandatory consumer rights.

Changes to these terms

We may update these Terms. We will give reasonable notice of material changes (for example, by email or an in-product or on-site notice). Continued use after a change takes effect means you accept the updated Terms; if you do not accept them, you may stop using the service and close your account.

Governing law, disputes & your consumer rights

These Terms are governed by the laws of Bulgaria. If you are a consumer habitually resident in another EU/EEA Member State, you keep the mandatory consumer-protection provisions of the law of your country of residence that cannot be derogated from by agreement (Article 6, Rome I). Nothing in these Terms deprives you, as a consumer, of the protection of Articles 17–19 of Regulation (EU) No 1215/2012 (“Brussels I bis”): you may bring proceedings against us in the courts of Bulgaria or of your country of domicile, and we may bring proceedings against you only in the courts of your country of domicile.

out-of-court dispute resolution

If you are not satisfied with our response to a complaint, you may refer the dispute to the competent alternative dispute-resolution (conciliation) body in Bulgaria — the conciliation commissions under the Commission for Consumer Protection (Комисия за защита на потребителите, КЗП), kzp.bg. We do not reference the EU Online Dispute Resolution platform, which was discontinued on 20 July 2025.

General

These Terms, together with the policies they reference (/aup, /privacy, /cookies, /refunds, /subprocessors, /dpa), are the entire agreement between you and Omega about the service. If any provision is unenforceable, the rest remains in effect. A delay in enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor of our business without reducing your rights. Neither party is liable for delay or failure caused by events beyond its reasonable control.
